LOC Global will
assign a LOC Partner Manager to help manage the partnership. The LOC Partner
Manager has the primary responsibility to ensure that both companies meet their
agreed-upon business objectives in revenue, product delivery, and market share.
In order to accomplish this, the LOC Partner Manager will:

Manage all daily activities related to the partnership.

Be responsible for revenue generation.

Review the joint pipeline and manage formal
forecasts.

Development Fund (MDF).

Manage engineering projects and technology
sharing.

Manage the definition, execution, and
measurement of marketing programs.

Ensure the success of joint customer projects.

Prepare quarterly written progress reports and
present quarterly to the executive advisory board.

Joint Partner Account Plan

Within 60 days of
establishing a relationship, the LOC Global and Partner Managers work together
to develop and obtain approval for a joint Partner Account Plan for the first
year of the partnership. Within LOC Global, this approval includes
executive-level sign-off and commitment. The account plan establishes joint
goals and objectives for the year with detailed strategies and tactics for
reaching those objectives, including joint sales, technical and marketing
activities.

Market Development Fund

The purpose of the
MDF is to exclusively fund external marketing programs that create demand,
benefit both parties, and offer a greater return on marketing investment than
each company could achieve on its own. The MDF is not a "fee" that the Partner
is obligated to pay LOC Global, nor does LOC Global require that the partner
establish an escrow account for the MDF. Rather, the MDF requirement is a
commitment on behalf of the partner to hold in reserve and invest over the
course of a 12-month period. Each partnership level has a minimum amount defined
to fund market awareness programs that will drive brand and demand for the
combined LOC Global and partner solution, as well as grow the overall market.

Logo enables LOC Partners to promote their partnership with LOC Global,

logistics services.
The LOC Partner
Logo can be used by LOC Partners on packaging, collateral materials,
documentation, print advertising, broadcast and web advertising, event signage
and other promotional media to quickly communicate the nature of their LOC
relationship and to distinguish themselves from other product and service
providers.

Partners who wish to issue a press release that includes any information
pertaining to their alliance with LOC Global must have the proposed press
release formally reviewed and approved in writing by LOC Global in advance. In
drafting press releases, all partners should contact LOC Global for
detailed information on the process and content of

demonstrate and expand its market leadership. LOC Partners can participate with

communicate the vision of third party logistics and has an expected target

are a more intimate venue to engage with prospects. Approximately 30-50
attendees are expected.

Joint Sales Business Planning

LOC assigns a
Partner Manager who works with a dedicated counterpart in the Partner
organization to develop a Partner Account Plan for the partnership. Part of this
Partner Account Plan is a detailed plan for engaging the LOC and Partner sales
organizations, building the necessary relationships between them, and measuring
the results. The LOC Partner Manager serves as the Partner's internal evangelist
at LOC, working with the Partner to establish systems for joint pipeline
reviews, targeting of accounts, and other activities designed to drive joint
sales as appropriate.

Partner-Specific Sales Initiatives

Specific initiatives
are created, such as teaming to develop vertical market products or other target
market project. LOC will organize customized programs to communicate partner
messages to the LOC sales organization. Such programs may include presentations
by the partner at formal LOC sales training events, mailings of customized
collateral to LOC sales personnel, or attendance at LOC regional sales meetings.
The LOC Partner Manager will work with eligible partners to design these sales
programs.

Inclusion in LOC Sales Template

LOC Global will
include a description of each strategic partner in the standard proposal
template used by LOC salespeople to create proposals via the LOC proposal
generator. This description can be up to two hundred words, describing the
partner's company and highlighting the unique benefits to the customer of the
partner's strategic relationship with LOC Global. LOC Global will also include
one slide on each strategic partner in its standard corporate presentation that
is used by LOC salespeople in initial presentations to all customers. As LOC
Global continues to grow, this benefit can be an extremely powerful and targeted
means of reaching decision makers at a key stage in their buying cycle, just as
they are planning a complete solution built around LOC Global products.
